ARTICLES OF ASSOCIATION

OF

The International Trade-Club in Ukraine

City of Kyiv, 1993

1. General Provisions, Objectives and Tasks of the Club

1.1. The International Trade-Club in Ukraine (hereinafter referred to as the Club) shall be a voluntary public organization uniting diplomatic employees of the countries accredited in Ukraine as well as officers of the bodies of state administration of Ukraine, representatives of the Ukrainian and foreign business circles.

1.2. The Club shall carry on the activity under the Constitution of Ukraine, current legislation and these Articles of Association.

1.3. The purpose of establishment of the Club shall be regular communication of foreign diplomats among themselves and with officers of the bodies of state administration of Ukraine, representatives of the Ukrainian and foreign business circles on the issues of development and advancement of international trade and economic relations.

1.4. The primary tasks of the Club shall be:

- regular information of foreign diplomats about foreign-economic policy of Ukraine;
- regular information of employees of bodies of state administration about arrangements of foreign states in the area of foreign-economic activity in relation to Ukraine;
- study and contribution to introduction of the best practices of foreign countries in the area of development of market relations at the Ukrainian public and private institutions, organizations and companies;
- search and establishment of business contacts of the Ukrainian entrepreneurs with foreign partners.

1.5. The Club shall not be liable for obligations of the State. The State shall not be liable for obligations of the Club.

1.6. The location of the headquarters of the Club shall be the City of Kyiv.

1.7. The Articles of Association of the Club shall be subject to registration in accordance with the current legislation.

1.8. The activity of the Club shall cover the territory of Ukraine.

2. Club Members

2.1. Members of the Club shall consist of full members, corresponding members and observer members.

2.2. As full members and corresponding members, the Club shall admit managers of trade and economic departments, bureaus, representative offices of foreign states accredited in Ukraine as well as individual officers of the Ministry of Foreign Economic Relations of Ukraine.

2.3. As observer members, the Club shall admit officers of bodies of state administration of Ukraine, representatives of the Ukrainian and foreign business circles.

2.4. The full voting status shall belong to the full members of the Club exclusively. Each country may have only one vote in the Club.

2.5. Until a full member is temporary absent, his vote shall be given to a corresponding member by resolution of a manager of the trade department or office of the respective embassy.

2.6. Each corresponding member or supervisory member shall have one deliberative vote in the Club. Each country may have some deliberative votes in the Club.

2.7. Full members and corresponding members shall be admitted into the Club immediately after they have submitted the respective applications to the President of the Club. Denial of admission to membership of the Club shall be adopted at a meeting by simple majority of votes.

2.8. Observer members shall be admitted into the Club upon two petitions from two full members of the Club at the General Meeting by simple majority of votes. The period of consideration of such petitions may not more than one month.

2.9. Membership in the Club may cease of the own free will of the members or in a way of expulsion voted by not less than 2/3 of the full members.

2.10. Full members and corresponding members of the Club shall be entitled:

- to attend plenary and off-site sessions of the Club;
- to obtain information and background materials  prepared for the Club members;
- to submit issues for consideration by the Club meeting to the President of the Senior Secretary;
- to address requests to the Ministry of Foreign Economic Relations of Ukraine for preparation of prospective information and background materials for the Club members;
- to consider the results of annual financial and economic activity of the Club and the record keeping procedure;
- to propose convocation of an extraordinary session of the Club and admission of new members;
- to elect and to be elected to the managing bodies of the Club.

2.11. Resolutions on the issues which require voting shall be adopted by full members of the Club exclusively.

2.12. The observer members shall be entitled:

- to attend plenary and off-site sessions of the Club;
- to obtain information and background materials  prepared for the Club members;
- to inform full members and corresponding members about activity of state institutions and business corporations they represent;
- simultaneously, management of such institutions shall be liable for keeping commercial classified information and state secrets.

2.14. Full members, corresponding members and observer members shall be bound:

- to comply with the provisions of the Articles of Association of the Club;
- to pay the membership fee timely;
- not to fail to attend the sessions of the Club without good reasons;
- not to invite persons who are not the Club members to the sessions of the Club without permission from the President of the Senior Secretary of the Club.
